These Terms of Service ("Terms") form a legally binding agreement between you and Quantum Evolution Technologies ("QevolveX," "we," "us," or "our") governing your access to and use of the QevolveX platform, websites, APIs, software, analytics, AI-assisted recruiting tools, and related services.
By accessing or using our services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the services.
1. Eligibility, Authority, and Accounts
- You must be legally capable of entering into a binding contract and at least the age of majority in your place of residence to use the services.
- If you use the services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must provide accurate, current, and complete account and billing information and keep it updated.
2. Services and Permitted Use
QevolveX provides software and AI-assisted tools to support recruiting, resume review, workflow collaboration, and hiring intelligence. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business purposes.
- You may not reverse engineer, resell, sublicense, scrape, disrupt, or attempt unauthorized access to the services.
- You may not use the services to store or process unlawful, infringing, discriminatory, abusive, malicious, or deceptive content.
- You may not use the services in a manner that violates data protection, employment, anti-discrimination, export control, sanctions, or other applicable laws.
3. Customer Data, Candidate Data, and Responsibilities
You retain ownership of the data, materials, job descriptions, resumes, documents, and content you upload or submit through the services (collectively, "Customer Data").
- You are responsible for ensuring you have all necessary rights, notices, consents, and lawful bases to collect, upload, process, transfer, and use Customer Data and Candidate Data in connection with the services.
- You grant QevolveX a limited right to host, copy, transmit, display, and process Customer Data solely as necessary to provide, secure, support, and improve the services in accordance with our agreement and applicable law.
- For Candidate Data, you remain responsible for your own recruiting, employment, privacy, and anti-bias compliance obligations.
4. AI Features and Disclaimers
The services may generate summaries, rankings, recommendations, classifications, or other outputs using AI-assisted systems. These outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for a particular use case.
- You remain solely responsible for reviewing outputs and for all hiring, screening, employment, and workplace decisions.
- You must not rely on the services as legal, HR, compliance, or professional advice.
- You are responsible for using the services in a fair, transparent, and legally compliant manner, including with respect to bias, discrimination, and adverse-impact risks.
5. Fees, Billing, Renewals, and Refunds
5.1 Dodo Payments as Merchant of Record
QevolveX uses Dodo Payments as Merchant of Record for many checkout transactions. As described in Dodo Payments documentation, Dodo may act as the legal seller of record, process payments, issue invoices and receipts, handle VAT, GST, and sales tax collection and remittance, and operate fraud, dispute, and certain compliance workflows.
By completing a purchase, you also agree to any applicable checkout, buyer, billing, or refund terms presented by Dodo Payments at checkout or through the billing portal.
5.2 Subscription Terms
- Paid plans are billed in advance on a recurring basis unless otherwise stated in an order form or enterprise agreement.
- Subscriptions renew automatically unless cancelled before the next renewal date.
- We may change pricing for future billing periods by giving reasonable prior notice where required.
- Upgrades, downgrades, billing-cycle changes, and seat or plan changes may take effect immediately or at the next billing date depending on the plan rules and billing logic in effect at the time of the change.
5.3 Taxes and Refunds
Prices may be displayed inclusive or exclusive of taxes, depending on your location and checkout flow. Where Dodo Payments acts as Merchant of Record, Dodo generally handles transaction tax collection and remittance. You remain responsible for your own business income taxes and any taxes not expressly handled by Dodo or stated in your order form.
Except where required by applicable law, expressly promised in writing, or provided under an applicable enterprise agreement, fees are non-refundable. Where refunds are approved, they may be processed through Dodo Payments back to the original payment method and currency, subject to Dodo's billing flows and applicable legal requirements.
6. Intellectual Property
QevolveX and its licensors own all rights, title, and interest in the services, including software, models, interfaces, designs, documentation, trademarks, branding, and underlying technology, excluding Customer Data.
You may not copy, modify, create derivative works from, or exploit our services or intellectual property except as expressly permitted by these Terms or applicable law.
7. Suspension and Termination
- You may stop using the services at any time and cancel your subscription in accordance with your billing terms.
- We may suspend or terminate access where reasonably necessary for security, fraud prevention, non-payment, legal compliance, platform abuse, or material breach of these Terms.
- Upon termination, your right to use the services ends, but provisions that by their nature should survive will survive, including payment obligations, disclaimers, liability limits, indemnities, and dispute terms.
8. Warranties Disclaimer
The services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, QevolveX disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted use, accuracy, and error-free operation.
9. Limitation of Liability
To the maximum extent permitted by applicable law, QevolveX will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings arising from or related to the services or these Terms.
To the maximum extent permitted by law, QevolveX's aggregate liability for all claims arising out of or relating to the services or these Terms will not exceed the amounts paid by you to QevolveX for the services during the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless QevolveX, its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to your Customer Data, your use of the services, your breach of these Terms, or your violation of applicable law or third-party rights.
11. Governing Law and Disputes
These Terms are governed by the laws of India, excluding its conflict-of-laws principles, unless a different governing law is required by a signed enterprise agreement. Subject to applicable mandatory law, courts located in Pune, Maharashtra, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms, update the effective date, and provide notice where reasonably appropriate. Your continued use of the services after the updated Terms become effective constitutes acceptance of the revised Terms.
